Mark Cuban breaking down the move that turned him into a billionaire and saved his fortune at the same time 💰 In April 1999 he sold Broadcast.com to Yahoo for $5.7 billion in Yahoo stock. His personal cut was 14.6 million shares, valued at around $1.4 billion at deal close and peaking at $3.4 billion when Yahoo hit $237 a share. Pretty much everyone in his position would have either held the stock or just sold it outright. Cuban did neither. The first move was during the 6 month lockup period where he wasn’t allowed to actually hedge his Yahoo shares. So instead he found a tax loophole and shorted internet indexes where Yahoo made up less than 5% of the basket, which was technically allowed at the time. Once the lockup expired, he called Goldman Sachs and built what’s called a collar. He bought puts to lock in a floor on the stock and sold calls to give up the upside. He capped his potential gains in exchange for being completely protected if Yahoo went to zero. He didn’t have to liquidate the shares, didn’t have to pay taxes upfront, and didn’t have to worry about the market. Months later the dot com crash hit and Yahoo dropped 97% from its peak. Other internet billionaires were watching their entire net worth evaporate in real time. Cuban’s downside was already locked in. He’s called it one of the top 10 trades in Wall Street history and said the most important business decision he ever made was hedging his Yahoo stock.
