ANWhen a company issues advisory shares, it is effecting a share allotment for consideration other than cash, recognised under the Companies Act, 2013.
The consideration is professional services.
Unless the pricing of the issuance signals otherwise, the company’s valuation remains unchanged. What shifts is the ownership matrix.
Valuation is about the value of the company as a whole.
Dilution is about who owns how much of it.
The distinction matters — especially during future fundraising and cap table scrutiny.

HOWhen I first joined Big4, I didn’t start in Audit. I chose Tax and it was an intentional decision.
Early in my career, I was able to move
relatively quickly into the advisory side.
Here’s what I learned from that,
and why I’d personally choose Tax over Audit.

You’re involved before decisions are made — reorgs, acquisitions, cross-border planning — not just reviewing what already happened.
That proximity accelerates learning and opens consulting paths earlier.

Audit builds strong generalists.
Tax pushes you to go deep.

• M&A
• Transfer pricing
• Corporate structuring
Depth compounds faster than breadth
and is harder to replace over time.
3️⃣ Higher long-term leverage
Good tax work directly affects outcomes: cash flow, risk exposure, deal viability.
That’s why tax professionals are often pulled into
strategy conversations and advisory roles.
The leverage is built into the work.
4️⃣ Less repetitive by nature
Audit follows a predictable cycle.
Tax doesn’t.
Facts change.
Laws change.
Structures change.
The work stays intellectually challenging
and doesn’t feel like the same file on repeat.
5️⃣ Wider long-term optionality
From Tax, you can move into:
• Advisory
• In-house roles
• Law firms
• Government
6️⃣ Judgment matters more as you advance
As you move into tax advisory, the work becomes less about rule-following and more about interpretation and judgment.
You’re weighing statutes, regulations, revenue rulings, and case law and applying them to real, messy facts.
That kind of judgment is harder to automate and becomes more valuable over time.
7️⃣ Long-term, you can build something of your own
Both tax advisory and compliance skills are portable.
Over time, that knowledge compounds into real services people are willing to pay for.
Not overnight.
Not early on.
But it’s a very real path.

RIIndia and the United States have signed a landmark trade deal, with Washington reducing tariffs on Indian goods from 25% to 18%. The announcement drew attention across political and economic circles, including a comment from Sanjeev Sanyal, member of Prime Minister Narendra Modi’s Economic Advisory Council.
